Terms of Service

Agreement

These Terms of Service govern your access to and use of BuyFlow.Dev (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Eligibility & Authority

You must be at least 18 years old to use the Service. If you use the Service on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

The Service

BuyFlow enables teams to submit and approve internal purchase requests in Slack and, when configured by the customer, create corresponding purchase order records in QuickBooks.

BuyFlow coordinates approval workflows only. BuyFlow is not a financial institution, payment processor, lender, marketplace, or seller of goods or services, and does not hold funds or execute financial transactions.

Accounts & Access

• BuyFlow is installed and managed by a Slack workspace administrator or other authorized customer representative.
• Workspace users may submit, review, approve, or manage requests only as permitted by the customer organization.
• The customer is responsible for managing user permissions, internal approval rules, and access to connected Slack and QuickBooks accounts.
• Access to the Service may be suspended, restricted, or revoked at any time through Slack, QuickBooks, or the Service itself.

Subscriptions & Billing

• Subscriptions are billed per Slack workspace unless otherwise agreed in writing.
• Fees are billed in advance and are non-refundable except as required by applicable law.
• The customer is responsible for any applicable taxes, duties, or similar governmental charges.

Customer Data

Customers retain all right, title, and interest in and to their data.

Customers grant BuyFlow a limited, non-exclusive license to host, process, transmit, and display customer data solely as necessary to provide, secure, support, and improve the Service.

Customers are responsible for ensuring they have all rights, permissions, and lawful bases necessary to provide data to BuyFlow for processing in connection with the Service.

Third-Party Services

The Service integrates with third-party platforms such as Slack and QuickBooks. Your use of those third-party services is governed by the separate terms, policies, and practices of those providers.

BuyFlow is not affiliated with, endorsed by, or sponsored by Slack or Intuit.

Acceptable Use

You may not:

• Use the Service in violation of any law, regulation, or third-party right.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its systems, or related networks.
• Reverse engineer, copy, resell, sublicense, or exploit the Service except as expressly permitted by law.
• Upload or transmit malware, malicious code, or other harmful material.
• Use the Service to process or transmit payment card numbers, bank account details, health information, government identifiers, or other highly sensitive personal data unless expressly supported in writing by BuyFlow.
• Misuse the Service in a way that circumvents usage limits, security controls, or customer-configured approval workflows.

Termination

You may stop using the Service at any time. We may suspend or terminate access to the Service immediately if we believe you have violated these Terms, created a security or legal risk, failed to pay applicable fees, or if continued operation is no longer commercially practicable.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, BuyFlow disclaims all express, implied, statutory, and other warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

Limitation of Liability

To the maximum extent permitted by law:

• BuyFlow will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities.
• Total aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees paid to BuyFlow for the Service during the 12 months preceding the event giving rise to the claim.
• BuyFlow is not responsible for outages, delays, data loss, or failures caused by Slack, QuickBooks, hosting providers, payment processors, or other third-party services.

Indemnification

You agree to defend, indemnify, and hold harmless BuyFlow and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your customer data, or your violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles.

Changes

We may update these Terms from time to time. If we make material changes, we will post the updated version on this page and update the "Last updated" date. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes.
